LEASE RIDER

This Lease Rider ("Rider") is entered into this day of, 20, by and between ("Tenant") and ("Landlord") and supplements and forms a part of the lease agreement (the "Lease") between Landlord located at (the and Tenant for the premises "Premises").

In the event of a conflict between the provisions of the Lease and the provisions of this Rider, the provisions of this Rider will control.

Landlord and Tenant acknowledge and agree that this Rider is entered into in connection with, and as a condition to, the grant of a franchise by Hawaiian Bros Franchising, LLC, a Missouri limited liability company ("Franchisor"), to Tenant in accordance with the terms of a franchise agreement (the "Franchise Agreement"), granting Tenant the right to operate the Premises as a Hawaiian Bros Island Grill restaurant.

As such, Landlord and Tenant acknowledge and agree that Franchisor is an intended third-party beneficiary of this Rider with an independent right, but not obligation, to enforce any and all of its terms.

The effectiveness of the Lease is contingent upon Franchisor's approval of the Premises and the form of the Lease.
