This Addendum (this "GRP Addendum") forms a part of the Agreement and is applicable upon execution of the Agreement and in conjunction with a Customer Order Form in which Olo and Customer have agreed that Olo will provide Operator with Google Rails Premium ("GRP"). In the event that this Addendum conflicts with the Agreement, or there is an inconsistency, this Addendum shall control. Unless otherwise defined herein, capitalized terms have the meanings ascribed to such terms in the Agreement.

According to Hardees's 2025 Franchise Disclosure Document, the Google Rails Premium Addendum, or GRP Addendum, becomes applicable when the franchise agreement is executed and used with a Customer Order Form. This form signifies that Olo, a third-party service provider, will provide the franchisee with Google Rails Premium (GRP). Olo facilitates the integration of aggregator ordering platforms with the franchisee's operations. Aggregators connect to the Olo platform to receive store information, transmit orders to the franchisee's Point of Sale (POS) systems, monitor aggregator activity, and control order flow. The franchisee has the discretion to utilize Rails.
By using Rails, the franchisee consents to allow Olo to transfer certain data, such as menu and general restaurant information, to the aggregator. Olo will not share Personally Identifiable Information (PII) with the aggregator, and the data is limited to the use of Rails. Hardees's franchisees must use the Olo program for all existing and future locations they own.
In the event of a conflict between the GRP Addendum and the franchise agreement, the terms of the GRP Addendum will take precedence. This ensures that the specific terms related to the Google Rails Premium service are prioritized. The agreement specifies that Olo will be the exclusive provider of integration services for aggregator ordering platforms, and the franchisee cannot use other aggregator-initiated ordering services instead of the licensed applications.
