HR's Pre-Opening Obligations
Before you open your Franchised Restaurant, we will:
- 3. Provide you electronic access to, the OPM, which contains information and knowledge that is unique, necessary and material to the Hardee's System. The OPM remains our property. We may revise the contents of the OPM, and you agree to comply with each new or changed section. (Franchise Agreement, § 9.) The Table of Contents of the OPM as of the date of this disclosure document is attached as Exhibit G. As of that date, the OPM contained approximately 224 pages.

According to Hardees's 2025 Franchise Disclosure Document, the Franchise Agreement itself contains the most detailed information regarding a franchisee's obligations. Item 22 lists several appendices to the agreement, including Appendix C, which outlines the franchisee's advertising and promotion obligations.
Item 11 indicates that Hardees will provide electronic access to the Operations Procedures Manual (OPM), which contains information and knowledge that is unique, necessary, and material to the Hardees system. The franchisee must comply with each new or changed section of the OPM. As of the date of the FDD, the OPM contained approximately 224 pages, and its table of contents is attached as Exhibit G.
Prospective Hardees franchisees should carefully review the Franchise Agreement and its appendices, as well as the OPM, to fully understand their obligations. It is also important to note that these obligations may be modified by addenda specific to certain states, such as those for North Dakota, South Dakota, Maryland, and Washington. Therefore, franchisees should pay close attention to any addenda that apply to their specific location or circumstances.
