Such guidance will, at our discretion, be furnished in our operating manual ("Brand Standards Manual"), bulletins or other written materials and/or during telephone consultations and/or consultations at our office or the Restaurant.
V. BRAND STANDARDS MANUAL
We will loan to you during the term of this Agreement one (1) copy of our Brand Standards Manual, consisting of such materials (including, as applicable, digital format and written materials) that we generally furnish to franchisees from time to time for use in operating a Golden Krust Restaurant. The Brand Standards Manual contains mandatory and suggested specifications, standards, operating procedures and rules ("System Standards") that we prescribe from time to time for the operation of a Golden Krust Restaurant and information relating to your other obligations under this Agreement and related agreements. The Brand Standards Manual may be modified from time to time to reflect changes in System Standards. You agree to keep your copy of the Brand Standards Manual current. In the event of a dispute relating to its contents, the master copy of the Brand Standards Manual we maintain at our principal office will be
controlling. You may not at any time, copy, share, duplicate, record or otherwise reproduce any part of the Brand Standards Manual. If your copy of the Brand Standards Manual is lost, destroyed or significantly damaged, you agree to obtain a replacement copy at our then applicable charge.
VI. MARKS
A. OWNERSHIP AND GOODWILL OF MARKS
Your right to use the Marks is derived solely from this Agreement and limited to your operation of the Restaurant pursuant to and in compliance with this Agreement and all System Standards we prescribe from time to time during its term. Your unauthorized use of the Marks will be a breach of this Agreement and an infringement of our rights in and to the Marks. You acknowledge and agree that your usage of the Marks and any goodwill established by such use will be exclusively for our benefit and that this Agreement does not confer any goodwill or other interests in the Marks upon you (other than the right to operate the Restaurant in compliance with this Agreement). All provisions of this Agreement applicable to the Marks apply to any additional proprietary trade and service marks and commercial symbols we authorize you to use.

According to Golden Krust Caribbean Restaurant's 2024 Franchise Disclosure Document, the System Standards are primarily prescribed in the Brand Standards Manual. This manual contains mandatory and suggested specifications, standards, operating procedures, and rules that Golden Krust Caribbean Restaurant prescribes for the operation of a Golden Krust Restaurant. The Brand Standards Manual also includes information relating to the franchisee's obligations under the Franchise Agreement and related agreements.
The Brand Standards Manual may be modified from time to time to reflect changes in System Standards, and franchisees are responsible for keeping their copy current. In the event of a dispute, the master copy of the Brand Standards Manual maintained at Golden Krust Caribbean Restaurant's principal office will be controlling. Franchisees are not allowed to copy, share, duplicate, record, or reproduce any part of the Brand Standards Manual. If a franchisee's copy is lost, destroyed, or significantly damaged, they must obtain a replacement copy at Golden Krust Caribbean Restaurant's then-applicable charge.
In addition to the Brand Standards Manual, Golden Krust Caribbean Restaurant may furnish guidance in bulletins or other written materials, during telephone consultations, or during consultations at their office or the Restaurant. Franchisees are required to operate and maintain the Restaurant in accordance with each and every System Standard, as Golden Krust Caribbean Restaurant periodically modifies and supplements them during the term of the Franchise Agreement. Compliance with System Standards is essential to preserve the goodwill of the Marks and all Golden Krust Restaurants.
