What This Means (2024 FDD)
According to the 2024 Franchise Disclosure Document, Golden Krust Caribbean Restaurant claims copyrights in its Brand Standards Manual, advertising materials, and related items used in operating the franchise. However, these copyrights have not been registered with the United States Register of Copyrights. This means that while Golden Krust asserts ownership of these materials, it has not formally registered them with the U.S. Copyright Office.
For a prospective franchisee, this could have implications regarding the enforcement of these copyrights. While Golden Krust Caribbean Restaurant can still pursue copyright infringement claims, the lack of registration may affect the remedies available to them in case of infringement. Registration provides certain legal advantages, such as the ability to claim statutory damages and attorney's fees in a lawsuit, which may not be available for unregistered works.
Additionally, the FDD states that there are currently no effective determinations by the Copyright Office or any court regarding the copyright in franchise materials, and no agreements limit Golden Krust's rights to use or authorize franchisees to use the copyrighted materials. Golden Krust Caribbean Restaurant is not required by any agreement to protect or defend its copyrights or confidential information, although it intends to do so when it is in the best interests of the System. This indicates that while Golden Krust intends to protect its intellectual property, it has the discretion to decide when and how to do so.
