We will loan to you during the term of this Agreement one (1) copy of our Brand Standards Manual, consisting of such materials (including, as applicable, digital format and written materials) that we generally furnish to franchisees from time to time for use in operating a Golden Krust Restaurant. The Brand Standards Manual may be modified from time to time to reflect changes in System Standards. You agree to keep your copy of the Brand Standards Manual current. In the event of a dispute relating to its contents, the master copy of the Brand Standards Manual we maintain at our principal office will be

controlling. You may not at any time, copy, share, duplicate, record or otherwise reproduce any part of the Brand Standards Manual. If your copy of the Brand Standards Manual is lost, destroyed or significantly damaged, you agree to obtain a replacement copy at our then applicable charge.

What This Means (2024 FDD)

According to the 2024 Franchise Disclosure Document, Golden Krust Caribbean Restaurant franchisees are explicitly prohibited from copying the Brand Standards Manual. The franchisor will loan one copy of the Brand Standards Manual to the franchisee during the term of the agreement. This manual contains the mandatory and suggested specifications, standards, operating procedures, and rules, known as System Standards, that Golden Krust Caribbean Restaurant prescribes for restaurant operations. The manual may be modified to reflect changes in System Standards, and the franchisee is responsible for keeping their copy current. In case of a dispute, the master copy maintained by Golden Krust Caribbean Restaurant at its principal office will be controlling.

This restriction is in place to protect the integrity and uniformity of the Golden Krust Caribbean Restaurant brand. Unauthorized copying, sharing, or duplication of the Brand Standards Manual could lead to inconsistencies in operations and a dilution of brand standards, which Golden Krust Caribbean Restaurant aims to prevent. Franchisees must obtain a replacement copy from the franchisor at the then-applicable charge if their copy is lost, destroyed, or significantly damaged.

This policy is typical in franchising, as franchisors need to maintain tight control over their systems and brand standards. By preventing franchisees from copying the manual, Golden Krust Caribbean Restaurant ensures that only authorized and up-to-date information is used to operate the restaurants. This helps maintain consistency across all franchise locations and protects the brand's reputation.
