What This Means (2024 FDD)
According to the 2024 Golden Krust Caribbean Restaurant Franchise Disclosure Document, if the franchisee is a corporation, limited liability company, or partnership, Exhibit A to the Franchise Agreement must completely and accurately describe all of the owners and their interests in the franchisee entity.
This requirement ensures that Golden Krust Caribbean Restaurant knows exactly who the owners are and what stake each owner has in the franchise. This is a standard practice in franchising, as the franchisor needs to assess the qualifications, financial stability, and background of all individuals with a significant interest in the franchise.
Furthermore, all owners at any time during the term of the Franchise Agreement must execute an agreement to be bound jointly and severally by all provisions of the agreement and any ancillary agreements between the franchisee and Golden Krust Caribbean Restaurant. The owners and their spouses, if applicable, must also jointly and severally personally guarantee the franchisee's payment and performance under the agreement via the Guaranty and Assumption of Obligations (Exhibit C). This provides an additional layer of security for Golden Krust Caribbean Restaurant, ensuring that the owners are personally liable for the franchise's obligations.
Golden Krust Caribbean Restaurant also requires franchisees and their owners to execute and deliver revised Exhibits A as necessary to reflect any changes in the information contained therein and to furnish other information about their organization or formation as requested. This allows Golden Krust Caribbean Restaurant to maintain current and accurate records of the franchise's ownership structure throughout the term of the agreement.
