We possess (and will continue to develop and acquire) certain confidential information (the "Confidential Information") relating to the development and operation of a Golden Krust Restaurant, which includes (without limitation):

  • (1) Recipes, ingredients, cooking methods;
  • (2) site selection criteria;
  • (3) methods, formats, specifications, standards, systems, procedures used, and knowledge of and experience in developing and operating Golden Krust Restaurants;
    • (4) marketing and advertising programs for Golden Krust Restaurants;
  • (5) knowledge of specifications for and suppliers of certain fixtures, furnishings, equipment, products, materials and supplies.

You acknowledge and agree that you will not acquire any interest in Confidential Information, other than the right to utilize Confidential Information disclosed to you in operating the Restaurant during the term of this Agreement, and that the use or duplication of any Confidential Information in any other business would constitute unfair method of competition. You further acknowledge and agree that Confidential Information is proprietary, includes our trade secrets and is disclosed to you solely on the condition that you agree, and you do hereby agree that you:

  • (1) will not use Confidential Information in any other business or capacity;
  • (2) will maintain the absolute confidentiality of Confidential Information during and after the term of this Agreement;
  • (3) will not make unauthorized copies of any portion of Confidential Information disclosed via electronic medium or in written or other tangible form; and
  • (4) will adopt and implement all reasonable procedures that we prescribe from time to time to prevent unauthorized use or disclosure of Confidential Information, including, without limitation, restrictions on disclosure thereof to Restaurant personnel and others.
