Franchisee acknowledges and agrees that Franchisor and its affiliates shall have the right to collect and retain any and all allowances, rebates, credits, or benefits (collectively, "Allowances") offered by manufacturers, suppliers, and distributors to Franchisee or to Franchisor or its affiliates based upon Franchisee's purchase of products and services from manufacturers, suppliers, and distributors.
Franchisee assigns to Franchisor or its affiliates all of Franchisee's right, title, and interest in and to any and all such Allowances and authorizes Franchisor or its affiliates to collect and retain any or all such Allowances without restriction unless otherwise instructed by the manufacturer, supplier, or distributor.
Franchisee also acknolwedges and agrees that Franchisor (or if Franchisor so elects, Franchisor's parent company, Golden Corral Corporation) shall have the right, but not the obligation, to collect and retain all right, benefit, title and interest, if any, in and to all claims and/or causes of action that Franchisee may have now and at any time in the future relating to Franchisee's purchases from any and all distributors, manufacturers, suppliers, wholesalers and vendors supplying foods, beverages and any related food-related and/or beverage-related supplies, materials or services (collectively, "Claims") which, in Franchisor's sole discretion, are or would be more beneficial for Franchisor (or if Franchisor so elects, Franchisor's parent company, Golden Corral Corporation) to prosecute (if at all) for the benefit of the System, however, the foregoing assignment of Claims shall not apply to Franchisee's state law product liability claims or any claims that Franchisee may have arising under original equipment manufacturer (OEM) product warranties or Restaurant-related construction or janitorial/maintenance services.

What This Means (2025 FDD)
According to Golden Corral's 2025 Franchise Disclosure Document, 'Allowances' refer to any and all allowances, rebates, credits, or benefits offered by manufacturers, suppliers, and distributors. These allowances can be provided either to the franchisee directly or to Golden Corral or its affiliates, based on the franchisee's purchases of products and services from those manufacturers, suppliers, and distributors.
As a Golden Corral franchisee, you acknowledge and agree that Golden Corral and its affiliates have the right to collect and retain these allowances. You assign all rights, titles, and interests in these allowances to Golden Corral or its affiliates, allowing them to collect and retain these benefits without restriction, unless the manufacturer, supplier, or distributor instructs otherwise.
Golden Corral also has the right to collect and retain all rights, benefits, titles, and interests in any claims or causes of action that a franchisee may have related to purchases from distributors, manufacturers, suppliers, wholesalers, and vendors. This assignment of claims does not apply to a franchisee's state law product liability claims or any claims arising under original equipment manufacturer (OEM) product warranties or Restaurant-related construction or janitorial/maintenance services.
