What is a 'Land Contract' as defined in the Golden Corral Development Agreement?

Golden_Corral Franchise · 2025 FDD

Answer from 2025 FDD Document

If Franchisor identifies and secures, by letter of intent, contract to purchase or lease agreement (hereinafter a "Land Contract"), a site within the Development Area that meets the then-current standards and site requirements established by Franchisor for development of a Golden Corral® restaurant, then Franchisor shall notify Area Developer that Franchisor has secured such site and provide on a confidential basis to Area Developer such information regarding such site as is then in the possession of Franchisor (the "Site Information"). The term "Site Information" expressly excludes any information or analysis developed by or for Franchisor containing any projected revenues or earnings with respect to the operation of a restaurant from such site (the "Excluded Information").

What This Means (2025 FDD)

According to Golden Corral's 2025 Franchise Disclosure Document, a Land Contract is defined within the context of the franchisor's development rights. Specifically, it refers to a letter of intent, contract to purchase, or lease agreement secured by Golden Corral for a site within the Development Area that meets the franchisor's standards for a Golden Corral restaurant.

This means that Golden Corral may proactively identify and secure potential locations for new restaurants within an area granted to an Area Developer. If Golden Corral finds a suitable site, they will notify the Area Developer, providing them with Site Information, but excluding any projected revenue or earnings data. This Site Information helps the Area Developer assess the location's viability.

The Land Contract is a crucial element in the development process, as it represents Golden Corral's initiative to find suitable locations. The Area Developer then has the option to accept an assignment of the Land Contract and proceed with developing a restaurant at that location, or decline, which could lead to termination of the Development Agreement.
