What rights does the Gokhale Method retain with respect to the Marks, the System, and Gokhale Method businesses?

Except for rights expressly granted to you under the Franchise Agreement, we retain all of our rights with respect to the Marks, the System and Gokhale Method businesses anywhere in the world, including the rights set forth in Section 2.2 of the Franchise Agreement, without compensation to you.

What This Means (2024 FDD)
According to the 2024 Gokhale Method Franchise Disclosure Document, Gokhale Method retains significant rights regarding the Marks, the System, and Gokhale Method businesses. Specifically, the franchise agreement does not grant exclusive rights to the franchisee, allowing Gokhale Method to use the Marks themselves for selling products, merchandise, and services, as well as granting licenses to others. They can also develop other systems using the Marks or similar marks and grant licenses for those without providing any rights to the franchisee.
Gokhale Method also reserves the right to modify, add to, or discontinue the use of the Marks, or substitute different Marks for identifying the System and its businesses. Franchisees are obligated to comply with any changes Gokhale Method requires, and they must bear the expenses for these changes. Furthermore, Gokhale Method retains all rights to the Marks, the System, and Gokhale Method businesses worldwide, except for the rights expressly granted to the franchisee in the Franchise Agreement.
These stipulations mean that a Gokhale Method franchisee's rights to the brand's intellectual property are limited and subject to change at the discretion of Gokhale Method. The franchisee does not have control over the Marks and must adapt to any modifications made by Gokhale Method. This lack of control and the potential for required changes at the franchisee's expense could pose financial and operational risks.
