What This Means (2024 FDD)

According to the 2024 Gokhale Method Franchise Disclosure Document, Gokhale Method retains specific rights regarding the use of its Marks. The franchise agreement grants franchisees a license to use Gokhale Method's Marks, but this license is not exclusive.

Gokhale Method explicitly retains the right to use the Marks themselves for selling products, merchandise, and services. They can also grant licenses to others for the Marks. Most importantly, Gokhale Method reserves the right to develop and establish other systems using the Marks, similar Marks, or any other Marks, and to grant licenses for these without providing any rights to the franchisee.

This means that a Gokhale Method franchisee's rights to the Marks are limited. Gokhale Method can create competing systems or license the Marks to other businesses, even those that might directly compete with existing franchisees. Additionally, Gokhale Method can modify or discontinue the use of the Marks, or substitute different Marks, and franchisees are obligated to comply with these changes at their own expense. This clause highlights a potential risk for franchisees, as Gokhale Method has broad control over the Marks and can make changes that impact the franchisee's business.
