What This Means (2024 FDD)
According to the 2024 Gokhale Method Franchise Disclosure Document, the enforceability of non-compete covenants is subject to state laws, particularly in California.
Specifically, the California Department of Financial Protection and Innovation requires that certain provisions in franchise documents be amended to comply with California law, including the California Franchise Investment Law (CAL. CORP. CODE Section 3100 et seq.) and the California Franchise Relations Act (CAL. BUS. PROF. CODE Section 20000 et seq.). If the Gokhale Method franchise agreement contains a provision inconsistent with these laws, the law will take precedence.
Notably, the FDD addendum for California states that a covenant not to compete extending beyond the termination of the franchise agreement may not be enforceable under California law. This means that while Gokhale Method's standard franchise agreement may include non-compete clauses, their actual enforcement in California is uncertain and depends on whether they align with California's specific legal requirements. A prospective franchisee in California should seek legal counsel to understand the specific enforceability of these clauses in their situation.
