What This Means (2024 FDD)
According to the 2024 Gokhale Method Franchise Disclosure Document, the franchise agreement includes a waiver of the right to claim punitive damages. Specifically, both the franchisor and the franchisee expressly waive any claim for punitive, multiple, and/or exemplary damages. This waiver is part of a broader agreement where both parties knowingly, voluntarily, and intentionally agree to waive their right to a jury trial in any action, proceeding, or counterclaim.
For a prospective Gokhale Method franchisee, this means that they are giving up the right to seek punitive damages from Gokhale Method in any dispute arising from the franchise agreement. Punitive damages are typically awarded to punish a defendant for particularly egregious behavior and are separate from compensatory damages, which are intended to cover actual losses. By agreeing to this waiver, the franchisee limits the potential financial recovery in case of a dispute with the franchisor, even if the franchisor's actions are particularly harmful.
It is important for a potential franchisee to understand the implications of waiving the right to punitive damages. While such waivers are not uncommon in franchise agreements, they can significantly impact a franchisee's legal recourse. Franchisees should consider consulting with an attorney to fully understand the risks and benefits before signing the agreement. This waiver, combined with the waiver of a jury trial, means disputes will likely be resolved through alternative methods such as arbitration, as further detailed in the FDD.
