Preamble: We have developed a method for restoring Primal PostureTM as evidenced by young children, our ancestors and people in non-industrial cultures (the "Gokhale Method®") as well as materials, procedures and protocols for teaching the Gokhale Method (the "Gokhale System") as well as materials, procedures and protocols for operating a business teaching it (the "Gokhale Way") under trademarks and trade names that we or our affiliate own or may own in the future (the "Marks"). You wish to teach the Gokhale System and to use the Gokhale Way to operate a business (the "Franchised Business") as well as to use the Marks and we are willing to grant you certain rights to do so, as set forth herein.

According to the 2024 Gokhale Method Franchise Disclosure Document, franchisees are granted the right to use Gokhale Method's trademarks and trade names, referred to as "Marks," to operate their franchised business. Specifically, Gokhale Method grants the franchisee the right to teach the Gokhale System and to use the Gokhale Way to operate the Franchised Business, as well as to use the Marks.

However, this license to use the Marks is non-exclusive. Gokhale Method retains the right to use the Marks themselves for selling products, merchandise, and services, grant licenses to others for the Marks, develop other systems using the Marks or similar marks, and modify or discontinue the use of the Marks. If Gokhale Method changes the Marks, the franchisee is responsible for complying with these changes at their own expense.

Upon termination or expiration of the Franchise Agreement, the franchisee must immediately cease all use of Gokhale Method’s intellectual property, including the Marks, and take action to cancel any assumed name registrations containing the word "Gokhale" or any other Marks. They must also stop using any confusingly similar domain names, URLs, email addresses, or home page addresses.

In practical terms, while franchisees can use Gokhale Method's brand and associated trademarks to conduct their business, they do not have exclusive rights. Gokhale Method can license the Marks to others, change them, or even use them directly, which could impact the franchisee's business. Furthermore, the franchisee's right to use these Marks ends immediately upon termination or expiration of the agreement, requiring them to rebrand and remove any association with Gokhale Method.
