We will indemnify you against, and reimburse you for, all damages for which you are held liable in any proceeding arising out of your authorized use of any Marks under the Franchise Agreement and, except as provided in the Franchise Agreement, for all costs you reasonably incur in defending any claim brought against you or any proceeding in which you are named as a party, if you have timely notified us of the claim or proceeding and you are in compliance with the Franchise Agreement and all other agreements entered into with us.

What This Means (2024 FDD)

According to the 2024 Gokhale Method Franchise Disclosure Document, Gokhale Method will indemnify a franchisee against damages for which they are held liable in a proceeding arising from the authorized use of Gokhale Method's marks under the Franchise Agreement. Gokhale Method will also reimburse the franchisee for costs reasonably incurred in defending a claim or proceeding in which they are named as a party.

However, this indemnification is conditional. To be eligible for indemnification, the franchisee must have notified Gokhale Method of the claim or proceeding in a timely manner. More crucially, the franchisee must be in full compliance with the Franchise Agreement itself, as well as all other agreements they have entered into with Gokhale Method.

This means that a Gokhale Method franchisee needs to maintain compliance with all aspects of their contractual relationship with the franchisor to ensure they are protected from potential liabilities related to trademark usage. Failing to adhere to the terms of the Franchise Agreement or any other agreements could void Gokhale Method's obligation to cover damages and legal costs.
