ILLINOIS ADDENDUM TO FOCUS CFO GROUP, LLC FRANCHISE AGREEMENT

| State of Illinois is void. However, a franchise agreement may provide for arbitration to take place | |||||||

What This Means (2025 FDD)
According to Focus Cfo's 2025 Franchise Disclosure Document, the Illinois Addendum to the Franchise Agreement is signed when specific conditions are met relating to the franchisee's location and the franchise offer. The addendum is made and entered into by Focus CFO Group, LLC, as the Franchisor, and the Franchisee.
The Illinois Addendum is signed concurrently with the Franchise Agreement and becomes part of it. This addendum is required if (a) the franchisee is domiciled in Illinois, (b) the offer of the franchise is made or accepted in Illinois, (c) the franchise business is or will be located in Illinois, or (d) the franchised business is or will be located in Illinois.
The Illinois Addendum also specifies that Illinois law governs the Franchise Agreement. It includes provisions to conform with the Illinois Franchise Disclosure Act, such as stating that any provision designating jurisdiction and venue outside of Illinois is void, although arbitration may take place outside of Illinois. It also states the franchisee's rights upon termination and non-renewal are set forth in sections 19 and 20 of the Illinois Franchise Disclosure Act, and that any attempt to waive compliance with the Illinois Franchise Disclosure Act is void.
