What This Means (2025 FDD)
According to the 2025 Focus Cfo Franchise Disclosure Document, Focus Cfo retains all ownership rights in the Focus Cfo Marks. However, during the term of the agreement, Focus Cfo grants the franchisee the non-exclusive right to market and offer CFO Services under the Focus Cfo name and use the Focus Cfo Marks. The franchisee's use of the marks must be authorized in writing by Focus Cfo.
If the franchisee becomes aware of any infringement or challenge to their use of the Focus Cfo Marks, they must notify Focus Cfo immediately. Focus Cfo will then take whatever action it deems appropriate. Focus Cfo will also defend any action brought against the franchisee if it is based on a claim that the Focus Cfo Marks infringe upon the rights of a third party. However, the franchisee must promptly notify Focus Cfo in writing of any such claim and cooperate with Focus Cfo in the defense or settlement of the claim.
Focus Cfo is not obligated for any infringement claim based on marks modified by someone other than Focus Cfo, the franchisee's use of the marks with non-Focus Cfo products or services, or the franchisee's use of the marks in a manner prohibited by the agreement. If Focus Cfo modifies or discontinues a mark, the franchisee must also modify or discontinue its use. The franchisee cannot directly or indirectly contest Focus Cfo's right to the marks, trade secrets, or business techniques that are part of Focus Cfo's business.
