What This Means (2025 FDD)
According to the 2025 Focus Cfo Franchise Disclosure Document, the Illinois Addendum is indeed a part of the Franchise Agreement. The FDD includes specific language confirming this. This is particularly relevant for franchisees who are domiciled in Illinois, if the franchise offer was made or accepted in Illinois, or if the franchise business is or will be located in Illinois.
The Illinois Addendum modifies certain aspects of the standard Franchise Agreement to comply with Illinois law. For example, it states that Illinois law governs the Franchise Agreement and addresses issues such as jurisdiction and venue, ensuring that certain provisions align with the Illinois Franchise Disclosure Act. Specifically, any provision designating jurisdiction and venue outside of Illinois is void, although arbitration outside of Illinois is permitted.
Furthermore, the addendum protects the franchisee by stating that any condition that waives compliance with the Illinois Franchise Disclosure Act or any other Illinois law is void. This ensures that franchisees operating in Illinois retain their rights and protections under state law, regardless of what the standard Franchise Agreement might otherwise stipulate. The addendum also requires both Focus Cfo and the franchisee to acknowledge that they have read, understand, and consent to be bound by the terms of the addendum, signifying its importance and legal effect.
