What This Means (2025 FDD)

According to Focus Cfo's 2025 Franchise Disclosure Document, the franchise agreement, its attachments, and referenced documents constitute the entire agreement between Focus CFO and the franchisee. This clause also states that it supersedes any prior agreements. This means that any previous discussions, promises, or agreements not included in the written agreement are not binding on either party.

This type of clause, often called an 'integration clause' or 'entire agreement clause,' is common in franchise agreements. It aims to provide clarity and certainty by ensuring that all relevant terms are written in one place. This protects both Focus CFO and the franchisee by preventing disputes based on verbal understandings or previous drafts of the agreement.

For a prospective Focus Cfo franchisee, this clause highlights the importance of carefully reviewing the entire franchise agreement and all attachments before signing. It also means that if there are any specific promises or representations made by Focus CFO during the sales process, the franchisee should ensure they are included in the written agreement to be enforceable. If not, the franchisee may have difficulty proving that those promises were part of the agreement.
