According to Focus CFO's 2025 Franchise Disclosure Document, the 'Authority to Bind Focus CFO' is outlined in Attachment F to the Franchise Agreement and became effective as of April 30, 2021. This attachment details the extent to which a franchisee can legally commit Focus CFO to agreements or obligations.
The document emphasizes that a franchisee's ability to bind Focus CFO is limited and always requires advance approval from Focus CFO. Specifically, franchisees can only execute Professional Services Agreements (PSAs) with clients after Focus CFO has prepared and approved them. Franchisees cannot alter the PSA language without written authorization. Similarly, Non-Disclosure or Confidentiality Agreements (NDAs) must be reviewed and approved by Focus CFO before an Area President or CFO can sign them on behalf of Focus CFO, with a preference for using Focus CFO's standard NDA.
Furthermore, franchisees are never authorized to execute Business Associate Agreements (BAAs) prepared by the client. They can only use Focus CFO's standard BAA and must also sign additional documentation confirming their understanding of and compliance with Focus CFO's policies related to BAAs. This strict control ensures that all agreements align with Focus CFO's standards and policies, mitigating potential legal and reputational risks.
