- Background. We and you are parties to that certain Franchise Agreement that has been signed concurrently with the signing of this Rider (the “Franchise Agreement”). This Rider is annexed to and forms part of the Franchise Agreement. This Rider is being signed because (a) you are a resident of South Dakota and the Franchised Business will be located in South Dakota, and/or (b) the offer or sale of the franchise for the Franchised Business that you will operate under the Franchise Agreement was made in the State of South Dakota.

- Application of Rider. There are circumstances in which an offering made by us would not fall within the scope of the New York General Business Law, Article 33, such as when the offer and acceptance occurred outside the State of New York. However, an offer or sale is deemed to be made in New York if you are domiciled in and the franchise will be opened in New York. Notwithstanding the foregoing, to the extent required by the North Dakota Franchise Investment Law, North Dakota law will apply to this Agreement.

What This Means (2025 FDD)
According to the 2025 Focalpoint Coaching Franchise Disclosure Document, there are several states that require a specific rider to the franchise agreement based on the franchisee's residency or where the franchise is offered or sold. For instance, if a franchisee is a resident of South Dakota or the offer/sale of the franchise occurred in South Dakota, a specific rider is added to the agreement. Similarly, a rider applies if the offer or sale occurred in Illinois, or if the franchisee is a resident of Illinois.
Additionally, New York requires a rider if the franchisee is domiciled in New York and the franchise will be opened there. North Dakota also has specific stipulations; to the extent required by the North Dakota Franchise Investment Law, North Dakota law will apply to the agreement.
These state-specific riders modify certain sections of the standard Focalpoint Coaching franchise agreement to comply with local laws. Prospective franchisees should carefully review Exhibit F, 'State Addenda and Franchise Agreement Riders,' to understand which riders apply to them based on their state of residence and where the franchise is being offered or operated. It is important to understand how these riders alter the standard agreement and what rights they provide or modify under the respective state laws.
