We need not protect or defend copyrights, although we intend to do so if in the system's best interests. What This Means (2025 FDD)

According to the 2025 Focalpoint Coaching Franchise Disclosure Document, Focalpoint Coaching is not required to protect or defend its copyrights. However, Focalpoint Coaching states that it intends to do so if it is in the best interest of the franchise system. Even if a franchisee brings a copyright issue to Focalpoint Coaching's attention, Focalpoint Coaching retains control over any legal action.

Focalpoint Coaching need not participate in a franchisee's defense, nor is it obligated to cover damages or expenses if a franchisee is involved in a copyright-related legal proceeding. This means that while Focalpoint Coaching owns the copyrights to materials like the Operations Manual and marketing content, the franchisee bears the risk of defending against copyright claims related to their business operations.

This policy is fairly typical in franchising, where the franchisor owns the intellectual property but often does not fully indemnify franchisees against all potential legal liabilities. Prospective Focalpoint Coaching franchisees should be aware of this and consider obtaining their own legal counsel and business insurance to mitigate these risks. Understanding the scope of protection offered by the franchisor is crucial for any franchisee.
