What happens if Focalpoint Coaching and the franchisee cannot agree on an acceptable site for the office?

Focalpoint_Coaching Franchise · 2025 FDD

Answer from 2025 FDD Document

If an Office has not been approved in writing by us as of the Effective Date of the Franchise Agreement, you agree to locate an Office acceptable to us and obtain our written approval of the location within 60 days following the Effective Date of the Franchise Agreement. We do not anticipate a situation where we would own the Site and lease it to you for the Office. If we and you cannot agree on an acceptable site and you do not open your Office within 60 days following the Effective Date of the Franchise Agreement, we may terminate the Franchise Agreement. (Franchise Agreement − Sections 1.D. and 14.B.)

What This Means (2025 FDD)

According to Focalpoint Coaching's 2025 Franchise Disclosure Document, the franchisee has 60 days from the effective date of the Franchise Agreement to secure a site that meets Focalpoint Coaching's approval. While Focalpoint Coaching may offer reasonable assistance in designating a location, they do not conduct site selection activities for the franchisee.

If the franchisee's office is in a non-residential location, it must meet Focalpoint Coaching's criteria regarding demographic characteristics, parking, neighborhood character, competition, proximity to other businesses, size, appearance, and other physical and commercial characteristics. Focalpoint Coaching also prescribes certain provisions that must be included in the office lease.

If Focalpoint Coaching and the franchisee cannot agree on an acceptable site within the 60-day period, Focalpoint Coaching has the right to terminate the Franchise Agreement. This could result in the franchisee losing the opportunity to operate a Focalpoint Coaching franchise and potentially forfeiting fees paid up to that point, depending on the terms outlined in Item 5 regarding refunds upon termination.
