(4) As a franchise owner of a FocalPoint Franchised Business, Franchisee will comply with this Agreement and all System Standards (defined below) in order to maintain the high and consistent quality that is critical to attracting and keeping clients for FocalPoint Franchised Businesses.

Franchisee shall maintain a competent, conscientious, trained staff, including a fullytrained, full-time manager, which may be Franchisee (or Franchisee's Managing Owner) or a Business Manager who Franchisor approves, with responsibility for direct supervision of the Franchised Business. Franchisee shall take such steps as are necessary to ensure that its Associates and other employees preserve good client relations; render competent, prompt, courteous, and knowledgeable service; and meet such minimum standards as Franchisor may establish from time to time in the Operations Manual or otherwise in writing. Franchisee and its Associates and other employees shall handle all client complaints, refunds, returns, and other

adjustments in a manner that will not detract from the name and goodwill of the Marks, the Franchise System or Franchisor.

F. COMPLIANCE WITH SYSTEM STANDARDS.

Franchisee acknowledges and agrees that operating and maintaining the Franchised Business according to System Standards are essential to preserve the goodwill of the Marks and all FocalPoint Franchised Businesses. Therefore, Franchisee agrees at all times to operate and maintain the Franchised Business according to all of Franchisor's System Standards, as Franchisor periodically modifies and supplements them, even if Franchisee believes that a

System Standard, as originally issued or subsequently modified, is not in the Franchise System's or the Franchised Business' best interests. Although Franchisor retains the right to establish and periodically modify System Standards that Franchisee has agreed to maintain, Franchisee retains the right to and responsibility for the day-to-day management and operation of the Franchised Business and implementing and maintaining System Standards at the Franchised Business.

Franchisees must also maintain a competent, trained staff, including a full-time manager, who may be the franchisee or a business manager approved by Focalpoint Coaching. This manager is responsible for the direct supervision of the franchised business. Franchisees must ensure their staff preserves good client relations, provides competent and courteous service, and meets the minimum standards set by Focalpoint Coaching in the Operations Manual or in writing. Franchisees and their staff must handle client complaints and adjustments appropriately to maintain the brand's reputation.
