Does the Focalpoint Coaching franchise agreement confer any goodwill or other interests in the Marks upon the Franchisee?
Focalpoint_Coaching Franchise · 2025 FDDAnswer from 2025 FDD Document
Franchisee acknowledges and agrees that Franchisee's use of the Marks and any goodwill established by that use are exclusively for Franchisor's and FocalPoint International's benefit and that this Agreement does not confer any goodwill or other interests in the Marks upon Franchisee (other than the right to operate the Franchised Business under this Agreement). All provisions of this Agreement relating to the Marks apply to any additional proprietary trade and service marks Franchisor authorizes Franchisee to use. Franchisee may not at any time during or after this Agreement's term or any renewal term contest or assist any other person in contesting the validity, or Franchisor's and FocalPoint International's ownership, of the Marks.

What This Means (2025 FDD)
According to the 2025 Focalpoint Coaching Franchise Disclosure Document, the franchise agreement does not confer any goodwill or other interests in the Marks to the franchisee. Focalpoint International, Inc. licenses the Marks to the Franchisor, who in turn grants the franchisee the right to use them solely for operating the Franchised Business under the agreement. Any goodwill established through the franchisee's use of the Marks benefits Focalpoint Coaching and Focalpoint International exclusively.
This means that while franchisees can use the Focalpoint Coaching trademarks and service marks to operate their business, they do not gain any ownership or enduring rights to these Marks. The agreement explicitly states that the franchisee's right to use the Marks is limited to the duration and terms of the franchise agreement.
Upon termination of the franchise agreement, the franchisee must discontinue all use of the Marks. This is a standard practice in franchising, as the brand's trademarks and associated goodwill are typically retained by the franchisor to ensure consistent brand management and protect the overall value of the franchise system. The franchisee also cannot contest the validity or ownership of the Marks during or after the term of the agreement.
This provision protects Focalpoint Coaching's brand identity and ensures uniformity across all franchise locations. It also means that a franchisee cannot claim any independent rights to the brand's recognition or reputation built up during the franchise term.
