What This Means (2025 FDD)
According to the 2025 Focalpoint Coaching Franchise Disclosure Document, certain types of transfers require that all specified conditions are met before or at the same time as the transfer becomes effective. These include the transfer of the Franchise Agreement itself, the transfer of a controlling ownership interest in the Focalpoint Coaching franchisee entity, or the transfer of a controlling ownership interest in one of the franchisee's owners.
Additionally, Focalpoint Coaching considers a series of transfers, regardless of the time period over which they occur, as a single transfer if they collectively result in the transfer of the Franchise Agreement or a controlling ownership interest in the franchisee or one of its owners. This means that even if multiple smaller transfers occur over time, they will be treated as one larger transfer if their combined effect is the transfer of control or the agreement itself.
For a prospective Focalpoint Coaching franchisee, this means that any significant change in ownership or control of the franchise business will be subject to the franchisor's approval and specific conditions. This is a common practice in franchising, as franchisors want to ensure that any new owners or controlling parties meet their standards and are capable of operating the franchise successfully. Franchisees should carefully consider these transfer conditions and approval requirements before entering into any agreements that could result in a transfer of ownership or control.
