This Addendum may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument, notwithstanding that all parties are not signatory to the original or the same counterpart. What This Means (2025 FDD)
According to the 2025 Focalpoint Coaching Franchise Disclosure Document, an electronic transmission of a duly executed copy of the addendum, including email and facsimile, constitutes an original and binding document. This means that franchisees and Focalpoint Coaching can sign and exchange the addendum electronically, and it will have the same legal effect as a physically signed document.
This policy offers convenience and efficiency, allowing parties to finalize agreements quickly regardless of their physical location. It reduces the need for printing, physical signatures, and mailing, which can save time and resources. This is a fairly standard practice in modern franchising, as it streamlines the documentation process.
However, it is important for a prospective Focalpoint Coaching franchisee to ensure that the electronic transmission method used is secure and reliable to prevent any disputes regarding the authenticity or integrity of the signed document. Additionally, franchisees should retain copies of all electronic transmissions and signed documents for their records.
