Can Focalpoint Coaching change the Computer System at any time?

We reserve the right to change the Computer System at any time. There are no contractual limitations on the frequency and cost of this obligation. We need not reimburse you for any of these costs. We have independent, unlimited access to the information generated by the Computer System. We also reserve the right to connect remotely to the Computer System, but will not do so without providing prior notice to you. We or our affiliates may condition any license of proprietary software to you, or your use of technology that we or our affiliates develop or maintain, on your signing a software license agreement or similar document that we or our affiliates prescribe to regulate your use of, and our and your respective rights and responsibilities concerning, the software or technology. We, our affiliates and our designated suppliers may charge you a monthly or other fee for any software or technology that we or our affiliates license to you and for other maintenance and support services that we or our affiliates provide during the franchise term.

What This Means (2025 FDD)
According to Focalpoint Coaching's 2025 Franchise Disclosure Document, Focalpoint Coaching reserves the right to change the Computer System at any time. This means that Focalpoint Coaching has the authority to modify or replace the computer hardware, operating software, or any other components of the Computer System that franchisees are required to use in their Franchised Businesses.
There are no contractual limitations on the frequency and cost of this obligation, and Focalpoint Coaching is not obligated to reimburse franchisees for any costs incurred as a result of these changes. Additionally, Focalpoint Coaching has independent, unlimited access to the information generated by the Computer System and reserves the right to connect remotely to the system with prior notice.
Focalpoint Coaching may also condition any license of proprietary software or technology on the franchisee signing a software license agreement. Furthermore, Focalpoint Coaching and its affiliates may charge a monthly or other fee for any software or technology licensed to the franchisee, as well as for maintenance and support services provided during the franchise term. This could create additional, unforeseen expenses for the franchisee.
This policy is fairly common in franchising, as franchisors need the flexibility to update technology to maintain system-wide standards and efficiency. However, the lack of contractual limitations on frequency and cost, combined with no obligation to reimburse franchisees, places the financial burden of these changes entirely on the franchisee.
