D. TECHNOLOGY FEE.

Upon execution of this Agreement and when Franchisee retains or hires an Associate, Franchisee shall pay Franchisor a non-refundable technology fee (the "Technology Fee") of Three Thousand Dollars ($3,000), plus any applicable taxes. According to Focalpoint Coaching's 2025 Franchise Disclosure Document, franchisees must pay an annual Technology Fee of $1,250, plus any applicable taxes. This fee contributes to Focalpoint Coaching's costs associated with the creation, maintenance, and ongoing development of the intranet site and other technology used for the Franchise System. Franchisees must begin paying this annual fee from the thirteenth month following the Effective Date of the Franchise Agreement, with payments due on or before November 30th of each year.

In addition to the annual Technology Fee, a franchisee must also pay an initial Technology Fee of $3,000 upon execution of the Franchise Agreement. This initial fee is non-refundable. Furthermore, if a franchisee retains or hires an Associate, they must pay an additional Technology Fee, both initially and annually, for each Associate.

It's important to note that Focalpoint Coaching retains the right to increase the annual Technology Fee at any time, provided they give prior written notice to the franchisee.
