13.3 General Manager and Key Employees. If requested by Fly To Fit Franchise, Franchisee will cause its general manager and other key employees to sign Fly To Fit Franchise's then-current form of confidentiality and non-compete agreement (unless prohibited by applicable law).
ARTICLE 13. COVENANTS
13.1 Confidential Information. With respect to all Confidential Information, Franchisee shall (a) adhere to all procedures prescribed by Fly To Fit Franchise for maintaining confidentiality, (b) disclose such information to its employees only to the extent necessary for the operation of the Business; (c) not use any such information in any other business or in any manner not specifically authorized in writing by Fly To Fit Franchise, (d) exercise the highest degree of diligence and effort to maintain the confidentiality of all such information during and after the term of this Agreement, (e) not copy or otherwise reproduce any Confidential Information, and (f) promptly report any unauthorized disclosure or use of Confidential Information. Franchisee acknowledges that all Confidential Information is owned by Fly To Fit Franchise (except for Confidential Information which Fly To Fit Franchise licenses from another person or entity). This Section will survive the termination or expiration of this Agreement indefinitely.
- 7.7 Software. Without limiting the generality of Section 7.1 or Section 8.1, Franchisee shall acquire and use all software and related systems required by Fly To Fit Franchise.
Franchisee shall enter into any subscription and support agreements that Fly To Fit Franchise may require.
Franchisee shall upgrade, update, or replace any software from time to time as Fly To Fit Franchise may require.
Franchisee shall protect the confidentiality and security of all software systems, and Franchisee shall abide by any System Standards related thereto.
- 11.9 System Variations. Fly To Fit Franchise may vary or waive any System Standard for any one or more Fly To Fit franchises due to the peculiarities of the particular site or circumstances, density of population, business potential, population of trade area, existing business practices, applicable laws or regulations, or any other condition relevant to the performance of a franchise or group of franchises. Franchisee is not entitled to the same variation or waiver.
