Who owns the Innovations developed by a Fly To Fit franchisee?

- 11.6 Innovations. Franchisee shall disclose to Fly To Fit Franchise all ideas, plans, improvements, concepts, methods and techniques relating to the Business (collectively, "Innovations") conceived or developed by Franchisee, its employees, agents or contractors.
Fly To Fit Franchise will automatically own all Innovations, and it will have the right to use and incorporate any Innovations into the System, without any compensation to Franchisee.
Franchisee shall execute any documents reasonably requested by Fly To Fit Franchise to document Fly To Fit Franchise's ownership of Innovations.

What This Means (2024 FDD)
According to Fly To Fit's 2024 Franchise Disclosure Document, Fly To Fit will automatically own all innovations conceived or developed by a franchisee, its employees, agents, or contractors. These innovations encompass ideas, plans, improvements, concepts, methods, and techniques related to the Fly To Fit business.
This means that if a franchisee or their staff develops a new exercise routine, a better way to manage class bookings, or any other improvement related to the Fly To Fit business, Fly To Fit will own it. The franchisee will not receive any compensation for these innovations, and Fly To Fit has the right to incorporate these innovations into the Fly To Fit system.
The Franchise Agreement stipulates that the franchisee must execute any documents reasonably requested by Fly To Fit to formally document Fly To Fit's ownership of these innovations. This clause ensures that Fly To Fit can legally protect and utilize any franchisee-developed improvements across the entire franchise system without further negotiation or payment to the originating franchisee.
