What This Means (2024 FDD)

According to Fly To Fit's 2024 Franchise Disclosure Document, franchisees are generally prohibited from granting a security interest in the Franchise Agreement itself. However, there is an exception to this rule. If a Fly To Fit franchisee grants an "all assets" security interest to a lender or secured party, they must ensure that the secured party expressly exempts the Franchise Agreement from that security interest. This means that while a franchisee can't directly use the Franchise Agreement as collateral, they can still obtain financing using other business assets, provided the agreement is specifically excluded from the security interest.

This requirement protects Fly To Fit by preventing a franchisee's lender from potentially taking control of the franchise rights in the event of a default. It ensures that Fly To Fit maintains control over who operates a franchise under its brand. This is a fairly standard provision in franchise agreements, as franchisors typically want to carefully vet and approve all franchisees.

For a prospective Fly To Fit franchisee, this means understanding the implications of any financing agreements. When seeking funding, the franchisee must make sure their lender understands and complies with the requirement to exempt the Franchise Agreement from any "all assets" security interest. Failure to do so could potentially put the franchise agreement at risk if the franchisee defaults on their loan, and could be grounds for termination of the franchise agreement by Fly To Fit.
