What This Means (2024 FDD)
According to Fly To Fit's 2024 Franchise Disclosure Document, the confidentiality obligations outlined in the Guaranty do not expire with the termination or expiration of the Franchise Agreement. The Guarantor, who is providing the guaranty, is responsible for maintaining the confidentiality of Fly To Fit's proprietary information both during and after the term of the agreement. This obligation extends indefinitely, meaning it continues even after the franchise agreement has ended.
This indefinite confidentiality clause means that a guarantor cannot use or disclose Fly To Fit's confidential information at any point, even after the franchise has closed. This includes trade secrets, customer data, and operational procedures. The guarantor acknowledges that all customer data generated or obtained is Confidential Information belonging to Fly To Fit Franchise.
This provision protects Fly To Fit's business interests by preventing former franchisees or related parties from using sensitive information to compete against the franchise system. Prospective franchisees should carefully consider the implications of this ongoing obligation, especially if they anticipate being involved in similar businesses after their Fly To Fit franchise agreement ends. It is important to fully understand what constitutes confidential information and how to properly safeguard it to avoid potential legal issues.
