What This Means (2024 FDD)
According to Fly Fitness's 2024 Franchise Disclosure Document, Electronic Advertising encompasses various online elements related to the franchised business or its trademarks. Specifically, it includes domain names, social media accounts, hypertext markup language, uniform resource locator addresses, access to corresponding internet websites, and the right to hyperlink to certain websites and listings on various internet search engines. This definition highlights the importance of a Fly Fitness franchisee's online presence and how it is managed within the franchise system.
Fly Fitness franchisees must understand that while they may acquire interests in these Electronic Advertising components during their franchise term, these interests are subject to the terms of the Franchise Agreement. Upon termination of the agreement, or even upon periodic request from Fly Fitness, the franchisee must immediately transfer these Electronic Advertising elements back to the franchisor. This underscores the franchisor's control over the brand's online identity and marketing efforts.
This requirement ensures brand consistency and protects Fly Fitness's intellectual property. It also means that a franchisee cannot independently build a lasting online presence that they can retain after leaving the franchise system. Therefore, prospective franchisees should carefully consider the implications of these terms on their long-term business strategy and digital marketing efforts.
