What This Means (2024 FDD)

According to Fly Fitness's 2024 Franchise Disclosure Document, the agreement requires the developer to acknowledge that the specialized training, trade secrets, and confidential information they receive provide a competitive advantage. Specifically, the developer acknowledges that this specialized training, trade secrets, and confidential information are beyond their current knowledge and experience.

This acknowledgement is a key component of the non-competition covenants within the agreement. By recognizing the value and competitive edge provided by Fly Fitness's proprietary information, the developer agrees to certain restrictions during the term of the agreement and for a period afterward. This includes not diverting business, participating in competitive businesses, or seeking to employ Fly Fitness's personnel.

The developer's acknowledgement serves as consideration for the specialized training, trade secrets, and confidential information they receive. This acknowledgement reinforces the enforceability of the non-competition covenants, as it demonstrates the developer's understanding of the value they are receiving and the potential harm that could result from misuse of this information. This is a common practice in franchising to protect the brand and system.

Furthermore, the agreement states that gaining access to this specialized training, trade secrets, and confidential information is a primary reason for entering into the agreement. This reinforces the importance of these elements to the success of a Fly Fitness franchise and the developer's understanding of their value.
