What This Means (2024 FDD)

According to Flowerama's 2024 Franchise Disclosure Document, Flowerama retains the sole right to control any legal actions or proceedings that arise from a claim or challenge to any of the Flowerama Marks. This means that Flowerama, not the franchisee, will direct the legal strategy and make decisions regarding the defense or prosecution of any such claims.

This provision is typical in franchising, as the franchisor has a vested interest in protecting its brand's trademarks and reputation. The franchisee is obligated to cooperate fully with Flowerama in the prosecution or defense of any claim or challenge concerning the marks. This cooperation may include providing documentation, testimony, or other assistance as needed.

Furthermore, Flowerama has the discretion to decide on any action taken in the event of a claim or challenge to the marks. Flowerama also has the sole discretion and control over any actions taken to protect the Marks. This includes the right to modify or discontinue the use of any of the marks, and the franchisee agrees to comply immediately with Flowerama's instructions in such matters. However, the franchisee is responsible for all costs incurred to comply with this obligation. Franchisees must use required trademark, service mark, or copyright notices in the form specified by Flowerama in connection with the franchisee's use of all trademarked and copyrighted items.
