What This Means (2024 FDD)

According to Flowerama's 2024 Franchise Disclosure Document, if the Licensed Material includes software or documentation provided by a third party under a license, the customer (franchisee) must agree to the terms and conditions of those licenses. Flowerama ensures that all users of the Licensed Material also abide by these third-party license terms and conditions. The franchisee is bound by these terms and conditions upon signing the Franchise Agreement.

This means that as a Flowerama franchisee, you are responsible for ensuring that anyone using software or documentation provided by third parties as part of the Flowerama system adheres to the specific license agreements of those third parties. This includes your employees and potentially any other individuals who access or use the licensed materials. Failure to comply with these third-party license terms could result in a breach of your Franchise Agreement with Flowerama and potential legal repercussions from the third-party licensor.

For a prospective Flowerama franchisee, this highlights the importance of understanding and communicating these third-party license terms to all users of the licensed materials within their franchise. It also underscores the need to maintain proper records and controls to ensure compliance with these terms. This requirement is typical in franchise systems that incorporate third-party software or intellectual property, as the franchisor must ensure that all franchisees and their users comply with the original licensing agreements to protect the franchisor and the system as a whole.
