What This Means (2024 FDD)

Based on the 2024 Flowerama Franchise Disclosure Document, there is no specific information provided that explicitly prohibits actions regarding customer data for a Flowerama franchisee during the term of the agreement and thereafter. However, the FDD does mention confidentiality and restrictions on using confidential information received from Flowerama.

Item 23 outlines the franchisee's responsibility to protect the Flowerama system, trademarks, and trade secrets. It states that the franchisee must operate the Flowerama Center in compliance with the agreement and operations manual. The franchisee acknowledges the confidential nature of the information contained in the Operations Manual and of information and procedures made available by Flowerama. The franchisee shall not duplicate or publish the Operations Manual or any confidential literature. The franchisee shall not disclose to anyone other than an authorized employee the information in the Operations Manual or any confidential literature and shall return the Operations Manual and any confidential literature to Flowerama at the expiration or other termination of this Agreement.

Section 27 details the procedures upon termination of the agreement, stating that all rights and privileges under the agreement cease immediately, and the franchisee must discontinue using all trade names, trademarks, signs, and advertising indicative of Flowerama. The franchisee shall not identify, advertise, or publicize any business as formerly associated with Flowerama or as a former franchisee after expiration or termination of this Agreement. The franchisee must also observe all pertinent restrictions contained elsewhere in the agreement, including provisions related to maintaining the confidential nature of information received from Flowerama during the term of the agreement and the non-competition covenants.

While the FDD emphasizes the importance of maintaining confidentiality and protecting Flowerama's trade secrets, it does not explicitly address specific prohibitions related to customer data. A prospective franchisee should seek clarification from Flowerama regarding the specific policies and procedures related to customer data, including what data is collected, how it can be used, and what restrictions apply during and after the franchise term. This information is crucial for understanding the franchisee's obligations and ensuring compliance with data protection regulations and the franchise agreement.
