What is considered 'Proprietary Information' within the Floors To Go system?

FTG. After the first year, attending members are expected to bear the expenses of attending these elective conferences.
- 5.3. Proprietary Information As part of the FTG System, you will have access on our members-only website to electronic copies of our price list, cashback list, advertising, marketing and merchandising information, and product specifications (this information is collectively referred to as the "Proprietary Information"). As a result, (i) we are and shall remain the owner of any and all Proprietary Information; and (ii) we claim copyright ownership with respect to the Proprietary Information. From time to time we revise and update our Proprietary Information and you agree to adhere to and abide by all such revisions. All Proprietary Information is hereby incorporated into this Agreement. We do not have a formal operations manual.
- 5.4. Commercially Reasonable Efforts. We agree that we will use commercially reasonable efforts (i) to maintain the reputation of the FTG System; (ii) to make available through the FTG System a wide variety of floor covering and window treatment products at favorable prices; and (iii) to defend the FTG Marks licensed with the FTG System, as described in Article 4 of this Agreement.
- 5.5. Rights. We will determine and approve the quality, variety, and wholesale prices of floor coverings and window covering products available through the FTG System, and we will take all reasonable actions necessary to maintain the quality and standards of such products.

What This Means (2025 FDD)
According to the 2025 Floors To Go Franchise Disclosure Document, Proprietary Information includes electronic copies of the price list, cashback list, advertising, marketing and merchandising information, and product specifications available on the members-only website. Floors To Go retains ownership of all Proprietary Information and claims copyright ownership.
Floors To Go revises and updates its Proprietary Information periodically, and franchisees must adhere to all such revisions. All Proprietary Information is incorporated into the Franchise Agreement.
Upon termination of the Franchise Agreement, franchisees must discontinue the use of all Proprietary Information and other proprietary materials, acknowledging them as trade secrets of Floors To Go. Franchisees are prohibited from copying, disseminating, disclosing, or using any Proprietary Information after the agreement ends. They must also destroy all Proprietary Items within ten days of termination.
