Is compliance with the existing Floors To Go Membership Agreement a condition for renewal?

You will also have the right to renew your FTG membership for successive terms of five (5) years.
- 2.2.
Conditions to Renewal.
If you would like to renew your FTG membership for a successive term of five (5) years and you meet the conditions contained in this Section 2.2, you must provide us with written notice, by registered or certified mail, of your exercise of each option, not less than sixty (60) days prior to the expiration of your membership (each a "Renewal Term").
If you do not provide us with such notice and a renewal fee as set forth in Section 6.6, this Agreement will continue on a month-to-month basis until we either (i) send you notice of termination, or (ii) we agree to renew the Agreement pursuant to the terms provided herein, whichever occurs first.
Our only conditions to your renewal of this Agreement are that (a) you cannot be in default of any material term or condition of any amendments hereof, or any other agreement in which we are both a party; (b) you execute the then-current FTG System membership agreement, which agreement shall supersede this Agreement in all respects, and which may contain terms that materially differ from the terms of this Agreement, such as different fee requirements and territorial rights; and (c) you pay the applicable renewal fee (see Section 6.7 for details).

Notice Required By Law.
Where required by law, we will give you notice prior to the expiration of the Original Term or any Renewal Term.
This Agreement shall remain in effect on a month-to-month basis until we have given the requisite notice required by such applicable law.

What This Means (2025 FDD)
According to Floors To Go's 2025 Franchise Disclosure Document, a franchisee's compliance with the existing membership agreement is a condition for renewal. Specifically, to renew for a successive five-year term, a franchisee must not be in default of any material term or condition of the current agreement, any amendments to it, or any other agreement with Floors To Go.
In addition to not being in default, the franchisee must execute the then-current Floors To Go System membership agreement, which will supersede the original agreement and may contain materially different terms, such as different fee requirements and territorial rights. The franchisee must also pay the applicable renewal fee.
If a franchisee fails to provide written notice of renewal at least 60 days before the expiration of their membership and pay the renewal fee, the agreement will continue on a month-to-month basis until Floors To Go sends a termination notice or agrees to renew the agreement. Where required by law, Floors To Go will provide notice prior to the expiration of the original or any renewal term, and the agreement will remain in effect on a month-to-month basis until the requisite notice has been given.
