ITEM 12. TERRITORY
A. Your Territory
You will not receive an exclusive territory. You may face competition from other franchisees, from outlets that we own, or from other channels of distribution or competitive brands that we control. Specifically, you may face competition from other FTG Showrooms that we or our affiliates franchise or own and that operate at traditional sites outside your territory. Also, you may face competition from other outlets that we franchise or own, or from other channels of distribution or competitive brands we control, including, but not limited to, competition from the FTG Shop At Home program.
As part of the FTG System, FTG will grant territorial rights to you which are officially identified in Schedule "A" of the Membership Agreement. FTG will not open any companyowned Floors To Go Showrooms or permit other franchised Floors To Go Showrooms to be located within your territory.

What This Means (2025 FDD)
According to the 2025 Floors To Go FDD, a franchisee may face competition from several sources. These include other Floors To Go franchisees, outlets that Floors To Go owns, and other channels of distribution or competitive brands that Floors To Go controls. Specifically, competition may arise from other Floors To Go Showrooms franchised or owned by Floors To Go or its affiliates, operating at traditional sites outside the franchisee's territory. Additionally, franchisees may face competition from other outlets that Floors To Go franchises or owns, or from other distribution channels or competitive brands it controls, such as the FTG Shop At Home program.
Floors To Go's affiliate, Abbey Carpet Co., Inc., which offers franchises for floor covering stores under the name "Abbey Carpet & Floor," represents another source of competition. As of the FDD date, Abbey Carpet Co., Inc. had 420 showrooms in its system. These Abbey Carpet System members sell floor and window coverings and may compete with a Floors To Go Showroom to a certain extent. The FDD notes that there may be overlap between the territories of Floors To Go members and Abbey Carpet & Floor franchisees.
Floors To Go retains significant rights to conduct business through various channels and methods, even within a franchisee's territory. These rights include the ability to operate or franchise Floors To Go Showrooms outside the franchisee's territory, develop and license new trademarks, and engage in business under the Floors To Go Marks through alternative marketing plans, distribution methods, or business formats, regardless of location. Floors To Go can also operate businesses offering dissimilar products and services under the FTG Marks and operate similar businesses through different distribution channels under different trademarks. They can also acquire businesses similar to Floors To Go Showrooms, even if those businesses compete within the franchisee's territory.
