What This Means (2024 FDD)
According to Fitstop's 2024 Franchise Disclosure Document, franchisees are generally prohibited from disclosing information in the Manual(s) to any person without prior written consent from Fitstop. However, there is an exception: franchisees can disclose information from the Manual(s) to employees of the Fitstop franchise. This disclosure is only allowed if it is for purposes related solely to the operation of the franchise.
This means a Fitstop franchisee can share relevant parts of the Manual(s) with their staff to ensure they understand and follow the correct procedures for running the business. However, they cannot share the Manual(s) with outside parties, such as consultants or other business owners, without Fitstop's explicit permission. Additionally, franchisees are not allowed to reprint or reproduce the Manuals, in whole or in part, for any purpose except in connection with instruction of employees in the operation of the Franchise.
This restriction is in place to protect Fitstop's confidential information and trade secrets, as the Manual(s) contain critical operating procedures, methods, and techniques that are not generally known to the public. By limiting access to the Manual(s), Fitstop aims to maintain a competitive advantage and ensure consistency across all franchise locations. Franchisees should be aware that violating this confidentiality clause could have serious consequences, potentially leading to a breach of the franchise agreement.
Prospective Fitstop franchisees should carefully consider these restrictions and ensure they have a system in place to manage and protect the confidentiality of the Manual(s). This may involve training employees on the importance of confidentiality and implementing security measures to prevent unauthorized access to the Manual(s).
