What This Means (2024 FDD)

According to Fitstop's 2024 Franchise Disclosure Document, Fitstop retains several rights regarding the operation of a franchised Fitstop business. Fitstop has the right to license and administer the Franchise System, which includes awarding franchises for the right to independently own and operate a fitness facility. This facility offers membership-based fitness classes, access to fitness equipment, group fitness training, and the sale of fitness-related products. Fitstop also designates the proprietary marks, logos, and trade dress used by each System Business.

Fitstop reserves the right to establish and operate, or license others to operate, System Businesses outside of a franchisee's designated territory. They can market and sell similar products and services under different trademarks anywhere, including within a franchisee's territory. Fitstop can also use the Proprietary Marks and System to distribute approved products through alternative channels like the Internet or wholesale stores, again without geographical limitations. Furthermore, Fitstop can acquire, merge with, or affiliate with any business, even those offering similar products or services, within or outside the designated territory.

Fitstop also claims property rights to all information regarding the operational, sales, promotional, and marketing methods of the Franchise System. This includes manuals, forms, agent/supplier/customer lists, contractual arrangements, financial details, customer information, employee remuneration, software, meeting information, security details, training materials, and business plans. All confidential information provided to the franchisee remains Fitstop's property, and any materials, concepts, processes, or improvements developed by the franchisee in the operation or promotion of the franchise also become Fitstop's property.

These reservations of rights allow Fitstop to maintain control over its brand and system, adapt to changing market conditions, and pursue various business opportunities without being restricted by individual franchise agreements. However, this also means that a Fitstop franchisee's territory is limited, and Fitstop can compete with its own franchisees through alternative channels or different brands. Prospective franchisees should carefully consider these limitations and understand how they might impact their business.
