What This Means (2024 FDD)
According to Fitstop's 2024 Franchise Disclosure Document, Fitstop retains ownership of all Confidential Information provided to the franchisee or their employees. The FDD specifies that any Confidential Information Fitstop provides to the franchisee or their employees remains Fitstop's property at all times. This includes, but is not limited to, manuals, forms, training information, advertising plans, contractual arrangements, financial details, software, seminar information, security access information, training information, and business plans.
This means that as a Fitstop franchisee, you must treat all Confidential Information as confidential, taking precautions to prevent dissemination to the public. Even materials, concepts, processes, or improvements developed by the franchisee in the operation or promotion of the franchise become the property of Fitstop. The franchisee is obligated to promptly notify Fitstop of any such developments.
Fitstop also claims property rights in all information about the operational, sales, promotional, and marketing methods and techniques of the Franchise System. This extends to lists, files, and other compilations of information, including manuals, forms, agent/supplier/customer names, contractual arrangements, financial details, prospective customer information, employee remuneration details, software, meeting information, security access information, training information, and business plans. All such information is considered confidential and remains Fitstop's exclusive property, even if compiled or developed by the franchisee.
This has significant implications for a prospective Fitstop franchisee. It reinforces the importance of maintaining the confidentiality of all information related to the Fitstop system and highlights the restrictions on using or disclosing this information, both during and after the franchise agreement. Any unauthorized use or dissemination of this information could result in immediate default of the Franchise Agreement.
