What This Means (2024 FDD)

According to Fitstop's 2024 Franchise Disclosure Document, a franchisee must provide prompt notice to Fitstop regarding any materials, concepts, processes, or improvements they develop related to the operation or promotion of their franchise. This includes providing all necessary information related to these developments.

This requirement ensures that Fitstop maintains control and ownership over any advancements or innovations within the franchise system. By requiring prompt notification, Fitstop can assess the potential value and applicability of these developments across the entire system. This allows Fitstop to integrate successful improvements into its standard operating procedures and marketing strategies, benefiting all franchisees.

Furthermore, the FDD states that any improvements developed by the franchisee automatically become the property of Fitstop without any compensation to the franchisee. Fitstop also states that the franchisee must execute any applications or assignments necessary to protect Fitstop's intellectual property rights in these improvements. This obligation extends beyond the termination or expiration of the Franchise Agreement. If a court determines that Fitstop is not entitled to automatic ownership, the franchisee agrees to grant Fitstop a perpetual, royalty-free, worldwide license to use and sublicense the improvements.

This clause highlights the importance of innovation within the Fitstop system, but it also underscores that Fitstop retains ultimate control over any new developments. Prospective franchisees should carefully consider this aspect, as any creative ideas or improvements they develop will become the property of the franchisor, with limited potential for direct financial benefit to the franchisee who originated them.
