What This Means (2024 FDD)
According to Fitstop's 2024 Franchise Disclosure Document, franchisees are generally prohibited from reprinting or reproducing any Confidential Information provided by Fitstop. However, there is a specific exception: a franchisee may reproduce Confidential Information for the purpose of instructing their employees in the operation of the franchise. This exception is conditional, requiring that the reproduction is solely for employee instruction related to franchise operations.
Fitstop retains ownership of all proprietary rights to Confidential Information, which includes manuals, forms, training materials, advertising plans, supplier details, customer information, software, seminar content, security access information, training information, and business strategies. Franchisees must not disclose Confidential Information to anyone, except to their employees who need the information to operate the franchise. This restriction applies to all forms of reproduction, whether in whole or in part, and making the information available to unauthorized individuals without Fitstop's written permission is strictly prohibited.
Unauthorized dissemination of Confidential Information can lead to immediate default of the Franchise Agreement. Franchisees are obligated to treat all Confidential Information as confidential, taking precautions to prevent its dissemination to the public. This includes information not explicitly marked as confidential. Fitstop also claims property rights in all operational, sales, promotional, and marketing methods of the Franchise System, as well as proprietary trade secret rights in lists, files, and other compilations of information pertaining to the Franchise System.
These stipulations are typical in franchising, as franchisors like Fitstop need to protect their intellectual property and maintain consistency across all franchise locations. Franchisees should be aware of these restrictions and ensure that their employees also understand and adhere to them to avoid potential legal issues and maintain a good working relationship with Fitstop.
