What This Means (2024 FDD)
According to Fitstop's 2024 Franchise Disclosure Document, the initial term of the Franchise Agreement begins on the Effective Date, which is the date the agreement is fully executed by all parties. The agreement then continues for a period of 10 years, unless Fitstop terminates it earlier according to the agreement's terms. This 10-year period is referred to as the "Term".
As a prospective franchisee, it's important to understand that the franchise agreement dictates the relationship between you and Fitstop for a decade. During this time, you're obligated to operate the franchise according to Fitstop's standards and specifications. Terminating the agreement early can have significant financial and legal repercussions, so it's crucial to fully understand the conditions under which Fitstop can terminate the agreement.
Fitstop offers the option to renew the franchise agreement for up to two consecutive five-year terms, provided certain conditions are met. To renew, you must notify Fitstop in writing between six and twelve months before the end of the initial term, not be in default of the agreement, execute Fitstop's then-current franchise agreement (which may differ substantially from the original), sign a general release of claims against Fitstop, pay a renewal fee of $20,000, and cure any existing defaults. If you continue to operate the franchise after the initial term without express written consent from Fitstop, it will be considered a month-to-month extension that Fitstop can terminate with 30 days' notice.
