  • 13.4.2 In the event you are required to license and use any Required Software that is not covered by the Technology Fee above, then you must ensure that you pay our Approved Supplier directly for such licensing and other fees associated with that Required Software as and when required by that provider.
  • 13.5 Fund Contribution(s). You shall contribute to our brand development Fund in an amount equal to two percent (2%) of the Gross Revenue generated by the Franchised Business, which shall be billed and collected at the same time and manner as your recurring Royalty Fee under Section 13.4 above (your "Fund Contribution"). We may adminster and use the Fund for any and all activities we determine appropriate to promote, market, advertise and/or otherwise develop the System, Proprietary Marks, System Business locations, Approved Services/Products and/or our brand generally, as we determine appropriate in our discretion. You acknowledge that we are not required to expend any particular portion of the Fund or your Fund Contributions on marketing or other services that are allocated specifically to your Designated Territory.
  • 13.6 Annual Conference Contribution(s). You may be required to remit to ua an amount equal to $150 per month as a contribution to defray the costs associated with any annual conference we determine to establish and conduct for System Business owners (an "Annual Conference"), which shall be payable in the same manner as your Royalty Fee on the date we designate each calendar month once you are required to have your Franchised Business open and operating.

and all Training Fees (whether for Instructor Training for a new/replacement Auhtorized Instructor or fee applicable to any other additional/remedial training, as set forth in our Manuals or otherwise in writing), Transfer Fee(s), Renewal Fee, Local Marketing Requirement and/or other marketing/advertising and/or promotional expenditures, to the extent such amounts are payable to us and/or any of our Approved Suppliers.

  • 13.8 Other Amounts Payable to Third-Party Approved Supplier(s) and/or Otherwise in Connection with the Franchised Business. You must ensure that timely payment is made with respect to all amounts due and owing to: (i) any designated or other Approved Supplier for Required Items (products or services) that we designate in our Manuals or otherwise in writing, including our then-current Approved Supplier for merchant processing services, consistent with the applicable Approved Supplier's invoicing, terms and conditions; and (ii) any other third-party landlord, supplier, provider or other vendor that has been used or engaged by you in connection with the establishment and/or ongoing operation of the Franchised Business.
  • 13.9 Related Acknowledgements. The parties acknowledge and agree that (i) all payments made by members in respect of Approved Products and/or Approved Services which you provide to members from your Franchise must be processed through our online ordering system via our website or our application;

What This Means (2024 FDD)

According to Fitstop's 2024 Franchise Disclosure Document, franchisees may be responsible for several other fees. These include contributions to the brand development fund, which is 2% of gross revenue, and a $150 monthly contribution towards the annual conference. These fees are collected in the same manner as the recurring royalty fee.

Franchisees may also need to cover training fees for instructors, transfer fees, renewal fees, and local marketing expenses if these are payable to Fitstop or their approved suppliers. If the franchisee is required to license and use any required software that is not covered by the Technology Fee, they must pay the approved supplier directly for the licensing and other associated fees.

Additionally, if a franchisee seeks to transfer their franchise, a non-refundable application fee of $500 is payable to Fitstop. This fee will be credited towards the transfer fee if the transferee is approved. The application fee is subject to upward adjustment based on changes in the Consumer Price Index. Franchisees are also responsible for all traveling, living, compensation, or other expenses they, their General Manager and/or other personnel incur in connection with the initial training, supplementary trainings, seminars, meetings, conferences and annual conventions.
