What This Means (2024 FDD)
According to Fitstop's 2024 Franchise Disclosure Document, the copyright material used in connection with a Fitstop franchised business includes all copyright in any operations manual, training manuals, program manuals, advertising and promotional materials. It also extends to any other documents, forms, manuals, policies, processes, prescribed standards of conduct, software and materials including, in particular, the contents of the Franchise Agreement.
Fitstop claims common law copyright and trade secret protection for several aspects of the franchise system including their manuals, training materials, advertising, and business materials. The TM Owner owns such intellectual property rights and licenses this intellectual property to Fitstop. Fitstop may revise its system and any of its copyrighted materials at its discretion and may require that franchisees cease using any outdated copyrighted material. The franchisee will be responsible for printing any revised or new advertising, marketing or other business materials.
During the term of the Franchise Agreement, the franchisee will receive information which Fitstop considers trade secrets and confidential information. The franchisee may not, during the term of the Franchise Agreement or any time after that, communicate, divulge, or use for the benefit of any other person any of these trade secrets, copyrighted materials, methods and other techniques and know-how concerning the operation of the Franchised Business. The franchisee may divulge such Confidential Information only to their employees who must have access to it in order to fulfil their employment obligations.
